A substantial part of our work as a Dutch law firm involves the agreements that govern B2B trading relationships: distribution agreements, commercial agency agreements (including goodwill indemnity under article 7:442 of the Dutch Civil Code), franchise agreements under the Dutch Franchise Act (Wet franchise), purchase agreements under Dutch sale of goods law, and international sale of goods contracts under the CISG. Our international contracting practice covers governing law, jurisdiction clauses, force majeure, sanctions and the boilerplate provisions that international contracts require.
When contracts need to end, our termination of contract practice covers the three distinct Dutch mechanisms: notice-based termination (opzegging), rescission for breach (ontbinding under article 6:265 BW), and annulment (vernietiging). The notice of default (ingebrekestelling) procedure is the step most foreign parties underestimate.
When disputes become unavoidable, our lawyers in Amsterdam handle breach of contract litigation, summary proceedings (kort geding) for urgent matters, commercial debt collection combined with pre-judgment attachment (conservatoir beslag), international arbitration under NAI, ICC and UNCITRAL rules, enforcement of Dutch and foreign judgments under the Brussels I Recast Regulation, and jurisdiction and forum disputes in cross-border matters. The combination of pre-judgment attachment and summary proceedings is one of the reasons Dutch courts are often the preferred forum for international commercial creditors. The litigation practice is led by Sander van Someren Gréve.
