What is the Enterprise Chamber (Ondernemingskamer) in the Netherlands?

Dutch term: Ondernemingskamer | Legal basis: Articles 2:344-2:359 BW

The Enterprise Chamber (Ondernemingskamer) is a specialised chamber of the Amsterdam Court of Appeal that handles corporate governance disputes. It has jurisdiction over inquiry proceedings (enqueteprocedure), annual accounts disputes, and certain other company law matters under articles 2:344 to 2:359 of the Dutch Civil Code.

In an inquiry proceeding, the Enterprise Chamber can investigate the management of a company, establish that mismanagement (wanbeleid) has occurred, and impose provisional measures including suspension of board members, appointment of interim directors, temporary deviation from the articles of association, and transfer of shares. The procedure is particularly powerful for minority shareholders seeking to challenge management decisions.

Why it matters for international businesses

For international investors in Dutch companies facing governance deadlocks or management disputes, the Enterprise Chamber provides a fast-track judicial remedy that is not available in most other jurisdictions.
